Welcome to Actlio ("Company", "we", "our", "us")! These Terms of Service ("Terms", "Terms of Service") govern your use of our gym management platform and services (the "Service") operated by Actlio.

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

You must be a registered business entity (gym/studio) to use this Service. By using the Service, you represent and warrant that you have the right, authority, and capacity to enter into these Terms and to abide by all terms and conditions set forth herein.

Account Security

You are responsible for maintaining the confidentiality of your account and password, including all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Service Description

Actlio provides a comprehensive gym management platform that includes:

• Member management and onboarding
• Membership plan creation and management
• Automated expiry reminders and birthday wishes
• Payment processing and receipt generation
• WhatsApp and voice call automation
• Personal training add-on management
• Reporting and analytics
• Staff management and role-based access

WhatsApp Business API Usage

Our Service integrates with WhatsApp Business API to send automated notifications to your members. By using our Service, you acknowledge and agree to the following:

• We only send messages that are directly related to gym membership services
• Messages include expiry reminders, payment confirmations, birthday greetings, and other membership-related communications
• All messages comply with WhatsApp's Business Messaging Policy and Terms of Service
• We maintain strict data protection and privacy standards
• Members can opt-out of communications at any time
• We do not send promotional or marketing messages unrelated to gym services

User Responsibilities

As a user of our Service, you agree to:

• Provide accurate and complete information when registering
• Maintain the accuracy of your information
• Keep your account credentials secure
• Notify us immediately of any unauthorized access to your account
• Use the Service only for lawful purposes
• Comply with all applicable laws and regulations
• Respect the privacy and rights of your members
• Not use the Service to send spam or unsolicited messages
• Not attempt to reverse engineer or gain unauthorized access to the Service

Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may simply discontinue using the Service.

In no event shall Actlio, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, availability, and non-infringement.

Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
